Terms of Use

This Terms of Use applies specifically to Bingo Gold Cash, the 75-ball skill-based bingo game operated by Zenith Games (Marvel Zenith Limited). These terms are adapted from the general Zenith Games Terms of Use and include dedicated provisions on account enforcement (Section 15) that reflect Bingo Gold Cash’s PayPal-only withdrawal model.

IMPORTANT NOTICE

These Terms are subject to a binding arbitration clause and class-action waiver as described in Section 19. You agree that any legal or equitable claim or dispute arising out of or relating in any way to these Terms or your access or use of the Services (as defined below) will be resolved as described in Section 19. Please read that section carefully. It affects your legal rights and obligations.

Introduction

These Terms of Use (“Terms”) constitute a binding legal agreement between Marvel Zenith Limited and its affiliates (collectively “Zenith Games,” “we,” “us,” or “our”) and you (“you”), governing your access to and use of all features, content, and other services provided by Zenith Games, including the Bingo Gold Cash mobile application and the website https://www.zenithgames.com (collectively, the “Services”).

By registering an account, entering any contests and tournaments, and using or otherwise accessing the Services, you confirm that you have read, understood, accepted, and agreed to be bound by these Terms, our Privacy Policy, and any applicable promotion rules (the “Rules”). If you do not agree to these Terms, the Rules, or the Privacy Policy, you may not register an account or otherwise use or access the Services.

1. Use of Our Services

Bingo Gold Cash is a 75-ball skill-based bingo game. Each game is played on a 5×5 card with a FREE space and uses one of four patterns: Horizontal or Vertical lines (×5), Diagonals (×2), and Four Corners (×1). Each game lasts 90 seconds, and all players in the same game see the same board, ball sequence, and booster sequence, so that finishing position reflects human skill rather than chance.

The Services include an online arena for mobile game challenges, cash contests, and cash tournaments using applications, tools, and services we may provide from time to time. All contests and tournaments offered on the Services are games of skill. Winners are determined by objective criteria described in the Rules, including but not limited to the scoring rules applicable to each contest. The individuals who apply the relevant skills and knowledge best and accumulate the highest scores will be the winners. Zenith Games uses skill matching as a means of matching individuals to participate in contests.

Scoring in Bingo Gold Cash is documented in the game: daubs are worth 100-140 points, BINGO is worth 1,000 points, Multi-BINGO applies a multiplier, Full House is worth 10,000 points, and errors (wrong daub, mistaken claim) deduct 25 or 100 points. These values are the objective criteria by which winners are determined.

The Services must not be used for gambling of any kind. By using the Services, you agree and confirm that your participation is not part of your business and that you are not using the Services for gambling purposes, but merely as a hobby.

2. Device Information

Use of the Services requires an internet connection to our servers, and we may need to collect certain information from you and your internet device (“Device”) in order to provide the Services to you, such as hardware system profile data, internet connection data, and any other data related to the operation of any Device used to log into the Services with your account.

We do not warrant that our Services will work on all devices. You are solely responsible for obtaining and maintaining compatible devices (updated from time to time) necessary to access and use the Services.

3. Eligibility

The Services are intended only for persons aged eighteen (18) years or older who are able to form legally binding contracts under applicable law. Any registration, use, or access to the Services by anyone under 18 is unauthorized, unlicensed, and in violation of these Terms. If we have reason to believe you are under 18, we may terminate your account, delete any content or information you submitted to the Services, and prohibit you from using or accessing the Services (or any part, aspect, or feature thereof).

By accessing or otherwise using the Services, you represent and warrant that you: (i) are a natural person aged 18 or older, personally identifiable with the email address and other submitted information associated with your account; (ii) have the legal authority to enter into a binding contract with Zenith Games; (iii) are physically located in a jurisdiction where participation in the contest you select is not restricted by that jurisdiction’s laws; and (iv) agree to comply at all times with these Terms and all applicable laws. Zenith Games reserves the right to request proof of age at any stage to verify that persons under 18 are not using the Services. If you do not satisfy all of these eligibility requirements, you are not permitted to access or use any of the Services and agree that you will not, and Zenith Games may suspend or close your account with or without notice.

4. Account Registration

Some parts of the Services may require you to register for an account. When you register an account, you will be asked to provide certain information, including but not limited to: (i) a unique username and password; (ii) contact information such as your name, phone number, and email address; (iii) payment and billing information; and (iv) any other information we require on the account registration form.

One Account, One Person, One Payment Method. You may establish, maintain, use, and control only one account on the Service. Each account on the Service may be owned, maintained, used, and controlled by only one person. In addition, because Bingo Gold Cash withdrawals are processed exclusively through PayPal, you may link only one PayPal account to your Bingo Gold Cash account, and that PayPal account must be registered in your own name and match the name, address, and other registration details on file. Registering multiple accounts, or registering a single account and binding multiple PayPal accounts for the purpose of receiving or withdrawing winnings, is strictly prohibited and constitutes abuse under Section 7 and may result in account termination and forfeiture of funds under Sections 7, 14, and 15.

You are responsible for keeping your account information secure. Do not share your account information with anyone. By registering an account, you agree to notify us immediately if you lose control of your password or suspect unauthorized activity on your account. You remain fully responsible for any action taken with respect to your account, regardless of whether that action was taken by you or by an unauthorized third party who obtained access to your account.

As the holder of your account, you are solely responsible for complying with these Terms, and only you are entitled to the benefits arising from it. You may not allow any other person to: (i) access or use your account; (ii) access or use the Services through your account; or (iii) accept or use prizes from your account. Except as required by law, your account and prizes won from participation in contests are not transferable to any other person or account.

We reserve the right to verify your account registration details (such as name, address, age, and payment methods used) at any time by requiring copies of certain documents, including government-issued identification, proof of address (such as a utility bill), or proof of payment method. We may require that copies of documents be notarized. If you fail to complete a request for copies of documents, Zenith Games may, at its sole discretion, terminate your account and withhold any funds in it.

You agree to: (i) promptly update your registration data to keep it accurate, current, and complete; (ii) provide additional information as part of our ongoing efforts to prevent illegal and fraudulent activity; and (iii) comply with any other policies or agreements we choose to implement. You agree that all information and data you provide to us at registration or at any time thereafter is true, accurate, and verifiable in all respects, and by providing such information and data you consent to us submitting it to third-party age-verification and identity-verification service providers to verify your account.

We reserve the right to investigate your account and the information provided at registration, including carrying out background and credit checks, to ensure compliance with these Terms and our obligations, and to ensure that no improper or illegal activity is occurring or has occurred. By registering an account, participating in any contests and tournaments, and accessing or otherwise using the Services, you confirm your consent to this. If we determine that your account has been involved in any illegal or improper activity, we reserve the right to terminate your account, with or without notice and without liability.

5. Compliance with Laws

You acknowledge that various rules, regulations, and laws (relating to lotteries, contests, and tournaments with entry fees and prizes) (“gaming laws”) may govern your participation in contests, and that gaming laws are enacted separately by each state, country, region, or jurisdiction. Accordingly, we do not offer cash contests to users in states where any such contest violates their gaming laws (“prohibited jurisdictions”), and you may not enter cash contests if you are located in any prohibited jurisdiction. In the United States, prohibited jurisdictions include Iowa. Users located in Arizona, Louisiana, Michigan, and Maine (for card games; collectively the “prize cash states”) may pay to enter skill contests, but all contests for users in prize cash states are for entertainment only, with prizes awarded in an in-game currency called “prize cash” that cannot be redeemed for real money.

We reserve the right to add additional prohibited jurisdictions at our sole discretion, and these prohibited jurisdictions may change. In addition, Zenith Games has the right to monitor your location of access to the Services and has implemented technical measures to block your use of the Services while you are located in a prohibited jurisdiction.

You are solely responsible for complying with all applicable laws. The Services and contests are void where prohibited or restricted by applicable law. You participate in contests at your own risk, and you agree that we are not liable if your jurisdiction’s laws restrict or prohibit your access to or participation in the Services. We reserve (but have no obligation) the right to monitor your location of access to the Services, and we may block access from any prohibited jurisdiction.

You must comply with all applicable export and sanctions laws and regulations and must not, directly or indirectly, use, export, or transfer any part of the Services or any related technical information or materials except as authorized by such trade controls.

6. User-Generated Content

The Services enable users to upload, post, transmit, or share content (“User Content”). User Content may contain proprietary material of Zenith Games, but is not verified or endorsed by us. By uploading or sharing any User Content, you represent and warrant that you own it, and you agree to grant us all rights necessary to grant Zenith Games a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, host, store, reproduce, modify, adapt, edit, translate, distribute, syndicate, publicly perform, publicly display, transmit, communicate to the public, provide, and make derivative works of all such User Content, in whole or in part, in any form, media, or technology.

Zenith Games reserves the right (but has no obligation) to remove, edit, or refuse to transmit any User Content in order to enforce these Terms or for any other reason in Zenith Games’s sole discretion.

7. Prohibited Uses

You may only use the Services for lawful purposes. You are solely responsible for all of your activity on the Services.

You must not (and must not allow any third party to) take any action on or through the Services, or upload, submit, post, or otherwise distribute or facilitate the distribution of any content or user submission that is: (i) unlawful, violent, threatening, abusive, invasive of anyone’s privacy, harassing, defamatory, libelous, false, deceptive, fraudulent, misleading, untrue, infringing, obscene, offensive, pornographic, or otherwise objectionable in Zenith Games’s sole discretion; (ii) infringing, misappropriating, or otherwise violating any third party’s intellectual property or proprietary rights; (iii) violating any right of publicity or any other right of any person or entity, or any legal or contractual obligation, including rights under data protection, anti-spam, and privacy laws; (iv) involving commercial activity without Zenith Games’s express permission; (v) containing harmful or malicious software or computer code, files, or programs designed to damage, destroy, interfere with, or limit the normal function of any software or hardware, or capable of unauthorized access to any system, data, password, or other information of Zenith Games, its users, or any other person or entity; (vi) using or launching any automated system, including but not limited to “screen scrapers,” “bots,” “spiders,” “offline readers,” etc., that accesses the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period of time; (vii) impersonating any person or entity, including but not limited to an employee or representative of Zenith Games; or (viii) removing, infringing, violating, obscuring, or altering any copyright or other proprietary notice on or in connection with the Services.

You represent and warrant to us that you will not engage in any activity that interrupts or attempts to interrupt the operation of the Services. Any person engaging in, participating in, assisting and abetting, or exhibiting conduct that we determine, in our sole discretion, may be interpreted as an unfair manner of participating in the Services, including but not limited to:

• (i) opening, accessing, or using multiple accounts;
• (i-a) linking more than one PayPal account to a single Bingo Gold Cash account, or linking a PayPal account registered in a name that does not match the registered account holder, for the purpose of receiving or withdrawing winnings;
• (ii) using unauthorized or altered software or hardware to assist gameplay;
• (iii) intentionally performing poorly in certain games to gain a competitive advantage;
• (iv) colluding with other players (e.g., intentionally losing matches in cash contests);
• (v) intentionally transferring funds between accounts (e.g., money laundering);
• (vi) harassing other participants;
• (vii) posting objectionable content; violating these Terms; violating the security of your account; or
• (viii) any other conduct (whether through automated technology or otherwise) that unfairly alters your chances of winning or constitutes fraud

(collectively, “Abuse”) will be subject to immediate sanctions (at our sole discretion). Such sanctions may include, but are not limited to: (i) immediate termination of your account and blocking your access to the Services; (ii) voiding and forfeiting any prizes you may have been entitled to receive; and (iii) clawing back and recovering any prizes you have already received. In addition to the foregoing, we reserve the right to disclose or report any money laundering or other illegal activity, or suspected money laundering or other illegal activity, to law enforcement and regulatory authorities.

Any attempt to deliberately damage the Services or undermine the legitimate operation of any contest violates criminal and civil laws, and if such an attempt is made, Zenith Games reserves the right to seek damages and other remedies from you to the fullest extent permitted by law.

You further acknowledge that the forfeiture and return of any prizes for violating these Terms in no way prevents Zenith Games from bringing criminal or civil proceedings for any Abuse.

8. Third-Party Services

The Services may provide links to third-party websites, applications, services, or products not owned or controlled by us (“Third-Party Services”). These links are provided for your convenience only and do not imply endorsement by Zenith Games of the content, products, services, or materials displayed or provided by such Third-Party Services, nor does Zenith Games assume any responsibility for them. Your use of such Third-Party Services is at your own risk and is subject to the terms governing the use of such Third-Party Services. If you download the application from the Apple, Inc. (“Apple”) App Store, or use the application on an iOS device, you acknowledge that you have read, understood, and agreed to the notices regarding Apple set out in the general Zenith Games Terms of Use, which apply equally to these Terms.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Zenith Games, its parents, subsidiaries, or affiliates, or their respective directors, officers, employees, agents, successors, or assigns (collectively, the “Zenith Games Entities”) be liable to you or any other person for any loss or damage of any kind (including but not limited to any special, direct, indirect, incidental, exemplary, economic, punitive, or consequential damages) arising out of or in connection with: (i) the website, the Services, or information you upload; (ii) the use, inability to use, or performance of the Services; (iii) any action taken by Zenith Games or law enforcement agencies in connection with an investigation into your use of the Services; (iv) any action taken in connection with copyright owners; or (v) any error, omission, or defect in the technical operation of the Services, even if foreseeable or even if the Zenith Games Entities have been advised of the possibility of such damages.

In no event shall the Zenith Games Entities’ total aggregate liability to you or any third party for all damages, losses, or causes of action exceed one hundred dollars ($100). If you are dissatisfied with any aspect of the Services, your sole and exclusive remedy is to stop accessing and using the Services.

10. Disclaimer of Warranties

You acknowledge and agree that you use the Services at your own risk. The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant or guarantee that the Services will be uninterrupted or error-free, that any contest you enter will be fair, or that other players will not cheat in such games. We do not guarantee or warrant that using the Services will result in any profit for you. We do not assume any liability for the loss of your account.

11. Zenith Games’s Intellectual Property Rights

All ownership, title, and intellectual property rights in the application, website, images, text, graphics, illustrations, trademarks, brands, service marks, trade dress, copyrights, photos, audio, video and music, logos, designs, virtual items, and any part thereof, belong to Zenith Games and to other companies providing services to Zenith Games, or to their respective owners. As a user of the Services, you agree not to use, copy, reproduce, publish, or borrow any of the foregoing content or trademarked works without the express permission of Zenith Games or its owners. Unless expressly provided herein, nothing in these Terms shall be deemed to grant you or any other party a license to such intellectual property.

12. Virtual Items (Gems)

The Services may include opportunities to earn or obtain virtual in-game currency, including but not limited to Gems, virtual coins, points, credits, bonuses, collectibles, and chips, all for use in the Services (“Virtual Items”). In Bingo Gold Cash, Gems are used to enter gem-based rooms (including Gems Battle, Big Gems, and Gems to Bonus). Virtual Items are licensed to you by us for your personal use through the Services, subject to the restrictions described below.

Virtual Items can never be redeemed or cashed out for “real world” money, goods, or any other item of monetary value from Zenith Games or any other party. You understand that you have no right, title, or property interest in Virtual Items, or in any other property associated with or stored in connection with the Services or your account. Your acquisition of Virtual Items is final, non-refundable, non-transferable, and non-exchangeable, except at Zenith Games’s sole discretion. Unless expressly authorized in writing by Zenith Games, you may not attempt to sell, give, or trade anything that appears in or originates from the Services in the “real world.”

You acknowledge that Zenith Games is not required to provide refunds for any reason, and that when an account is closed (whether such closure is voluntary or involuntary), you will not receive money or other compensation for unused Virtual Items. If your account is terminated or suspended for any reason (at Zenith Games’s sole discretion), or if the Services are no longer available, all of your Virtual Items are forfeited. No refunds will be given, no Virtual Items will be credited to you, and no conversion to cash or other form of reimbursement will be made if your account is terminated, suspended, or any Virtual Items are selectively removed or revoked.

13. License to Use the Services

Subject to these Terms, we grant you a personal, non-exclusive, limited, non-transferable, non-sublicensable license to install and access the Services on a device you own or control, solely for the purpose of accessing and using the Services in accordance with these Terms. You may not, directly or indirectly, or authorize any person or entity to: (i) reverse engineer, decompile, disassemble, redesign, or otherwise create or attempt to create or allow, permit, or assist others to create the source code of the Services or its structural framework; (ii) create derivative works of the Services; (iii) use the Services in whole or in part for any purpose other than as expressly provided herein; or (iv) disable or circumvent any access control or related device, process, or procedure established for the Services.

14. Winnings, Account Funds, Payments, and Prize Forfeiture

All fees and payments for the Services that require them (“Fees”) will be communicated to you before you enter any contest or tournament. If you agree to enter a contest, you agree to pay the Fees associated with that contest. All Fees must be prepaid and are non-refundable. You are fully responsible for all charges, deposits, and withdrawals made under your account, including any unauthorized charges, deposits, or withdrawals.

Withdrawals (Bingo Gold Cash). All withdrawals from Bingo Gold Cash are processed exclusively through PayPal. The minimum withdrawal amount is $5, and processing generally takes 1-3 business days after verification. Before processing a withdrawal request, we may require you to submit current and correct information, including your full name, permanent residential address, a copy of a government-issued ID, your phone number, and your payment information. Failure to provide required information may result in our inability to process a withdrawal of your winnings. We reserve the right to change any withdrawal-related rules, including minimum withdrawal amounts, withdrawal methods, and withdrawal fees, at our sole discretion and without prior notice. In addition, we may freeze your account or delay withdrawal requests until we complete an investigation into reported or suspected abuse or fraud, verify eligibility, or comply with applicable law. Withdrawal processing may take up to ninety (90) days.

PayPal Verification. Because withdrawals are PayPal-only, your PayPal account must be registered in your own name and match the name, address, and other registration details on file with your Bingo Gold Cash account. We may verify your PayPal account and identity details with PayPal and third-party verification service providers before releasing funds. Your personal account (whether bank account, credit card, PayPal, or other) may incur additional fees and commissions when receiving funds from your Zenith Games account. We are not responsible for paying these fees and commissions.

Bonus Funds and Prizes. If you are a cash player, we may, from time to time and at our sole discretion, grant you free bonus funds and credits (“Bonus Funds”). Bonus Funds may be used to enter cash contests but cannot be withdrawn or used for any other services. If you withdraw funds from your account, you will forfeit all Bonus Funds currently in your account. If you do not enter a cash contest for ninety (90) consecutive days, all Bonus Funds in your account will be forfeited. Unless otherwise stated in the Rules, you must claim your prizes within sixty (60) days of winning a contest. If you fail to claim a prize within sixty (60) days, Zenith Games reserves the right to forfeit the prize at its sole discretion.

Account Closure and Forfeiture. If you choose to close your account, any funds in your account will be forfeited. If you want to withdraw funds before closing your account, you must make the request before terminating the account. If we unilaterally close or terminate your account because you have violated these Terms (at our sole discretion) involving fraud, illegal conduct, or cheating, the funds in your account may be forfeited and not refunded. Any attempt to commit fraud through the use of payment methods, or your failure to honor legitimate charges or payment requests, will result in immediate termination of your account, forfeiture of prizes, and civil and criminal prosecution.

Inactive Accounts. If your account is inactive for six (6) consecutive months or more (i.e., you have not participated in at least one (1) contest or tournament), we reserve the right to charge a monthly maintenance fee of $2.00 (or the highest equivalent in the applicable currency) per month of inactivity.

15. Account Suspension and Termination (Account Banned)

This section sets out when a Bingo Gold Cash account may be banned, the measures we may take, what happens to funds, and how to appeal. It supplements Sections 7 and 14.

15.1 What Can Lead to a Ban

Bans in Bingo Gold Cash trace to four trigger families:

Because Bingo Gold Cash pays out exclusively through PayPal, the payment-verification cluster matters most: a PayPal account that does not match the registered name, or a chargeback filed after a withdrawal, is the kind of signal that cash apps take most seriously. Registering multiple accounts, or linking multiple PayPal accounts to a single person for the purpose of withdrawing winnings, is a violation of Section 4 and an act of Abuse under Section 7.

15.2 Enforcement Measures

When we determine, in our sole discretion, that your account is involved in any of the behaviors above, we may take any of the following measures, alone or in combination, with or without notice:

1. Issue a warning or soft warning (in-app message about suspicious activity).
2. Request identity or payment verification before processing a withdrawal.
3. Temporarily restrict features (e.g., block withdrawals while rooms remain playable).
4. Freeze the account or delay a withdrawal request pending investigation (up to 90 days).
5. Terminate the account and block access to the Services.
6. Void and forfeit prizes you may have been entitled to receive.
7. Claw back and recover prizes you have already received.
8. Forfeit funds held in the account, where the termination is based on fraud, illegal conduct, or cheating.
9. Disclose or report suspected money laundering or other illegal activity to law enforcement and regulatory authorities.

15.3 Funds After a Ban

15.4 Appeal Process

Bingo Gold Cash does not guarantee that every review results in reinstatement, but we will review appeals submitted through the proper channel:

1. Read the ban message carefully. It usually states the trigger category; the category determines the fix.
2. Use the in-app support channel first.
3. Prepare evidence before contacting support: screenshots of purchases, withdrawal history, and identity documents.
4. Write a factual, calm appeal explaining what happened.
5. Follow up once, then wait. Repeated tickets can reset your place in the queue.
6. If banned for verification failure, re-submit clean documents matching your registration and PayPal details.
7. Never create a new account to “work around” the ban.

Reversal rates vary by trigger type: verification mistakes and false positives reverse often, while terms violations reverse rarely. The appeal is still worth filing in every case, because the cost is one support conversation and the upside is your account and balance.

15.5 Ban Circumvention Prohibited

Creating a new account, or linking a new PayPal account, to circumvent or evade a suspension, restriction, or ban is itself an act of Abuse under Section 7. It converts a potentially reversible review into a permanent one, and any funds in the new account are subject to forfeiture under Section 15.3.

16. Skill Matching

Zenith Games uses skill matching to pair customers with other players of similar skill. Matching is based on several factors, including: the number of paid contests entered; scores and results of prior contests; the length of time played in a game title; and performance in tournaments with different entry fees. As your skill level improves, your match difficulty may increase. In Bingo Gold Cash, after your initial free tutorial game, you will only be matched or play against human players in our contests. Zenith Games’s games are regularly tested by independent third parties to confirm that human players are not matched with bots.

Our games are designed to provide entertainment and challenge, as an enjoyable pastime rather than a reliable source of income. Sustained winning is unlikely, and while short-term success is possible, continued success over longer periods cannot be guaranteed.

17. Indemnification

You agree to defend, indemnify, and hold harmless Zenith Games, its affiliates, officers, directors, agents, partners, and employees from and against any losses, damages, claims, liabilities, costs, demands, and expenses (including reasonable attorneys’ fees) arising in any way out of your use of or access to the Services, including but not limited to: (i) any data or works you transmit or receive; (ii) your breach of these Terms; (iii) your infringement of any third-party rights; (iv) your violation of any law, rule, or regulation; (v) any content submitted by or through your account; (vi) any other party’s access to and use of the Services using your unique username, password, or other appropriate security code; or (vii) any other claim by a third party with respect to your use of the Services.

18. Term and Termination

These Terms take effect from the date you accept them as provided herein. You may terminate your Zenith Games account at any time for any reason by sending a support request to dev@zenithgames.com or by following the instructions provided on the website or in the application. After termination of your account, you must immediately stop using the Services and your account. Upon the immediate termination of your account, all licenses and rights granted to you under these Terms automatically terminate.

Zenith Games may permanently or temporarily terminate, suspend, or otherwise refuse to allow your access to the Services, with or without notice and liability, if you breach these Terms. Zenith Games reserves the right to modify, suspend, discontinue, or terminate the Services (temporarily or permanently) at any time, with or without notice. You agree that Zenith Games shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

19. Agreement to Arbitrate / Class Action Waiver

Please read this section carefully. It may significantly affect your legal rights, including your right to bring claims in court.

You agree that any legal or equitable claim or dispute between you and Zenith Games arising out of or relating in any way to these Terms or your use of or access to the Services will be resolved in accordance with the terms of this Section 19, including through final and binding arbitration and a waiver of class action rights, as set out in the general Zenith Games Terms of Use. In particular: (i) you and Zenith Games will attempt to resolve any dispute through informal negotiation within sixty (60) days of notice of the dispute; (ii) any dispute not resolved within that period will be resolved only through final and binding arbitration; (iii) you and Zenith Games each waive, to the extent permitted by applicable law, any right to a jury trial, and agree that claims may only be brought on an individual basis, not as a plaintiff or class member in any purported class, representative, or private attorney general action; (iv) if you reside in the United States, the Federal Arbitration Act governs, and arbitration is conducted by National Arbitration and Mediation (“NAM”); if you reside in the United Kingdom, arbitration is conducted by the London Court of International Arbitration (“LCIA”); otherwise, arbitration is conducted by the Israeli Commercial Arbitration Association, with the seat of arbitration in Tel Aviv, Israel (London for UK residents, New York City for US residents); and (v) any claim or dispute must be filed within one (1) year of the date the cause of action arises, or it is waived and permanently barred.

Exceptions: Either party may bring suit in state or federal court to protect its intellectual property rights, or may elect to resolve a dispute in small claims court.

30-Day Opt-Out Right: You have the right to opt out of the arbitration provisions by sending a written notice of your decision to opt out to dev@zenithgames.com within thirty (30) days of your first use of the Services. If you opt out of arbitration, Zenith Games will also not be bound to arbitrate.

20. Modification of Terms or Services

We reserve the right to modify or replace any portion of these Terms, and any documents incorporated by reference herein, at any time at our sole discretion, with or without notice. You agree that we may notify you of any updates or new terms by posting a notice on the Services (accessible via a link from the homepage) or by sending a notice to the email address associated with your account. All such changes take effect immediately upon posting, or at the later date specified in the notice of updated terms. Your continued use of the Services after such notice confirms your agreement to and acceptance of such revisions. The latest version of these Terms will govern your use of and access to the Services. If you object to any such changes, your sole recourse is to stop accessing the Services.

21. Governing Law and Jurisdiction

For any dispute, including a request for mandatory arbitration, if you reside in the United States or use the Services in the United States, these Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. For all disputes not subject to arbitration, you hereby consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, USA. For any dispute not subject to arbitration, if you reside in the United Kingdom or use the Services in the United Kingdom, these Terms shall be governed by the laws of England and Wales, and both parties hereby submit to the jurisdiction of the courts of the United Kingdom. Otherwise, for any dispute, these Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of laws principles, and you hereby consent to the exclusive personal jurisdiction and venue of Tel Aviv, Israel.

22. No Waiver and Force Majeure

Zenith Games’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless agreed to in writing. Zenith Games shall not be liable for any failure to perform any obligation due to causes beyond its reasonable control.

23. Survival

Any terms and conditions of these Terms that by their nature should survive the termination of your account shall survive, including: Compliance with Laws, Prohibited Uses, Limitation of Liability, Winnings, Account Funds, Payments, and Prize Forfeiture, Indemnification, Zenith Games’s Intellectual Property Rights, Term and Termination, Agreement to Arbitrate/Class Action Waiver, and Governing Law.

24. Assignment of Rights

You may not assign, transfer, sublicense, or pledge your account or any of your rights or obligations under these Terms in any way. Zenith Games may assign, transfer, sublicense, or pledge any of its rights and obligations under these Terms to any subsidiary, affiliate, or successor, or to any third party, without notice to or consent from you.

25. Notification Procedures

Zenith Games may provide you with notifications, whether required by law or for marketing or other business purposes, by email notice, written or paper notice, or by posting such notice prominently on the Services (at Zenith Games’s sole discretion). Zenith Games reserves the right to determine the form and means of providing notifications to you.

26. Entire Agreement and Severability of Clauses

The terms posted on this page, together with the policies and agreements incorporated by reference herein (as amended), constitute the entire agreement between you and Zenith Games. If any part of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, that part shall be interpreted in a manner consistent with applicable law to reflect the original intent of the parties, and the remaining parts shall remain in full force and effect.

You acknowledge that these Terms and all related documents (including any Rules and the Privacy Policy) are written in English. If these Terms are translated into another language, the English text shall prevail in all cases.
